Terms of Service

By creating a Bora Live account, whether through a mobile device, mobile application or computer (collectively, the "Service") you agree to be bound by this Terms of Service and our Privacy Policy, each of which is incorporated by reference into this Agreement, and any terms disclosed and agreed to by you if you purchase additional features, products or services we offer on the Service (collectively, this "Agreement"). If you do not accept and agree to be bound by all the terms of this Agreement, please do not use the Service.

We may make changes to this Agreement and to the Service from time to time. We may do this for a variety of reasons including to reflect changes in or requirements of the law, new features, or changes in business practices. The most recent version of this Agreement will be posted on the Service under Settings and also on goBora Live.com, and you should regularly check for the most recent version. The most recent version is the version that applies. If the changes include material changes to your rights or obligations, we will notify you at least 30 days in advance of the changes (unless we’re unable to do so under applicable law) by reasonable means, which could include notification through the Service or via email. If you continue to use the Service after the changes become effective, then you agree to the revised Agreement.

1. Eligibility

You are not authorized to create an account or access or use the Service or systems it resides on unless all the following are true:

• You are at least 18 years of age.

• You can form a binding contract with Bora Live.

• You are not a person who is barred from using the Service under the laws of the United States or any other applicable jurisdiction (for example, you do not appear on the U.S. Treasury Department’s list of Specially Designated Nationals or face any other similar prohibition),

• You will comply with this Agreement and all applicable local, state, national and international laws, rules and regulations, and

• You have never been convicted of a felony or indictable offense (or crime of similar severity), a sex crime, or any crime involving violence, and that you are not required to register as a sex offender with any state, federal or local sex offender registry.

2. Account registration, usage and cancellation

2.1 Account registration

We provide a registration channel for Bora Live accounts. You can choose to register a Bora Live account by email. You can also use the third-party platform account authorization login function we provide to register and log in to Bora Live through the user account of the third-party software or platform that you legally own. You should ensure that the user account of the third-party software or platform you use complies with the requirements of relevant laws and regulations.

We do not provide account registration services to minors. If you are a minor, please stop registering and using your account immediately. Otherwise, once discovered, we will immediately take action against the account, including but not limited to suspending services to the account, banning the account, etc.

2.2 Account usage

You acknowledge and accept that your Bora Live account is for your own use only. You are prohibited from giving, lending, renting, transferring, selling or otherwise permitting others to use the account. If we have reasonable grounds to believe that the user is not the account registrant, we have the right to suspend or terminate the service to the account to protect account security.

You shall maintain the security and confidentiality of your Bora Live account and password. If you lose your account or forget your password, you can apply to retrieve your account or password in a timely manner in accordance with our appeal channels. You understand and acknowledge that we only identify whether the verification information provided by the appellant in the appeal is consistent with the system records, and cannot identify whether the appellant is the real owner of the account. If your account is stolen or your password is lost due to your own reasons, such as improper custody, the corresponding losses will be borne by you. If you find that someone else is using your Bora Live account without permission, or find any other security loopholes, please notify us immediately and take measures such as changing your password to protect the security of your account.

2.3 Account Deletion

To delete your data please click within the App on Settings located in the top right corner of your profile > click on "Setting"> select the option "Delete Account" > click on "Delete"

You are responsible for maintaining the confidentiality of your login credentials you use to sign up for Bora Live, and you are solely responsible for all activities that occur under those credentials. If you think someone has gained access to your account, please immediately contact us.

3. Your Interactions with Other Members

You are solely responsible for your interactions with other members. You understand that Bora Live does not conduct criminal background checks on its members or otherwise inquire into the background of its members. Bora Live makes no representations or warranties as to the conduct or compatibility of members.

4. Community Guidelines

By using the Service, you agree that you will not:

• Use the service for any purpose that is illegal or prohibited by this agreement.

• Use the service for any harmful or nefarious purpose.

• Use the service to damage Bora Live.

• Spam, solicit money from, or defraud any members.

• Impersonate any person or entity, or post any images of another person without their permission.

• Bully, "Stalk", intimidate, assault, harass, mistreat, or defame any person.

• Post any content that violates or infringes anyone's rights, including rights of publicity, privacy, copyright, trademark, or other intellectual property or contract rights.

• Post any content that is hate speech, threatening, sexually explicit, or pornographic.

• Post any content that incites violence; or contains nudity or graphic or gratuitous violence.

• Post any content that promotes racism, bigotry, hatred, or physical harm of any kind against any group or individual.

• Solicit passwords for any purpose, or personal identifying information for commercial or unlawful purposes from other members, or disseminate another person's personal information without their permission.

• Use another member's account, share an account with another member, or maintain more than one account.

• Create another account if we have already terminated your account, unless you have our permission.

Bora Live reserves the right to investigate and/or terminate your account without a refund of any purchases if you have violated this Agreement, misused the Service, or behaved in a way that Bora Live regards as inappropriate or unlawful, including actions or communications that occur on or off the Service. In the event that you violate these rules or our Community Guidelines, your authorization to use the Service will be automatically revoked.

5. User-Generated Content

You are solely responsible for any Content that you transmit or display through the App or Services.

• When you transmit or display Content through the App or Services, you grant us an unconditional, non-exclusive, royalty-free worldwide license to use, reproduce, transmit, publish, display, distribute or otherwise use this Content in the context of the App, the Services and promotion of the Products. You may revoke this license by deleting the Content from the App or Services. This does not affect any use of the Content by us prior to the revocation.

• You may not display any personal contact or banking information on your individual profile page, or anywhere else on the App or Service, whether in relation to you or any other person (for example: home addresses or postcodes, telephone numbers, email addresses, URLs, credit/debit card or other banking details). If you do choose to reveal any personal information about yourself to other users, whether via email or otherwise, you acknowledge that you do so at your own risk.

• If you share Content that is protected by intellectual property rights, you represent and warrant that you are the creator and owner of or have the necessary rights to transmit, display, perform or adapt the Content and you agree to pay for all royalties, fees, and any other monies owed to any person by reason of your Content.

• The Content you transmit, display, perform or adapt may not:

A. Infringe, violate, or misappropriate any third-party right, including any copyright, trademark, patent, trade secret, moral right, privacy right, right of publicity, or any other intellectual property or proprietary right,

B. Be incorrect or misleading;

C. Slander, defame, libel, or invade the right of privacy, publicity or other property rights of any other person.

D. If you do not comply with the above, you may be subject to criminal and civil liability and we have a right to immediately (permanently or temporarily) terminate your account and/or delete or make unavailable (parts of) the relevant Content.

6. Paid Content

Any payment for any paid Content and items offered under the App or Services that you purchase will first be made using the virtual currency that you have purchased via the App.

If you purchase any Premium Service and/or any paid Content and items offered under the Services or App, you hereby agree to pay all charges to your account, including all applicable taxes and transaction costs, in accordance with our standard billing terms in effect at the time the charges are payable, regardless of whether such costs are charged by the Application Stores. Before your purchase, the full and final price of any Premium Service and/or any paid Content will be displayed.

You agree that if you purchase Premium Services and/or any paid Content and items through an Application Store, all payment related questions, issues, disagreements and/or disputes regarding that transaction with an Application Store shall be handled in accordance with the terms of service or other legal agreement that governs your use of a given payment processing service and/or method, and in no event will we have any responsibility in connection with any of the foregoing. You shall indemnify and hold us harmless from any Application Stores’ claims as mentioned under this paragraph, even if a court or administrative agency decides that we are be liable for such question, issue, disagreement or dispute.

We may use personalized pricing, that may be dependent on your location or the payment channel that you use.

7. Refunds

When you purchase any Premium Service and/or any paid Content or item, you purchase digital content that we supply. Before you make the purchase, you consent to us immediately performing the Service or delivering the Content or item after your purchase. As a consequence of this consent, you can no longer request a refund for that particular Service, Content or item based on your right to withdraw from a consumer purchase. The following Articles only apply in a situation where you made a purchase without giving consent to immediately perform the Service or deliver the Content of the item.

You may request a full refund for any Premium Service and/or any paid Content and item purchased from an Application Store if permitted by, and pursuant to the refund rules of the Application Store, subject to the following exceptions: (A) refunds are not available to users who are banned by us and/or its community; and (B) refunds are not available for partially used purchases.

You may request a refund for any Premium Service and/or any paid Content and item purchased outside the Application Store within 14 days of purchase by contacting our customer service, subject to the following exceptions: (A) refunds are not available if they are not permitted by payment channels and/or platforms; and (B) full refunds are not available for partially used purchases. You acknowledge that, upon a successful request, your money will be refunded in the same manner you used to make the original payment.

8. Liability

We are not liable for any damages based on your use of the App or the Services, your ability to use the App or the Services or in any way or for any failures in the App or Services. Your access to and use of the Services and App or any content is at your own risk. You understand and agree that the Services are provided to you on an "As Is" and "As Available basis".

If we are liable for any event, this liability shall be limited to direct damages. This means that we are not liable for, among other things, any consequential, indirect or reputational damages, any loss, deletion, destruction or damage to or to your personal rights, your data, your personal data or your device.

Any limitations of liability as set out above do not apply insofar as the damage has resulted from willful misconduct or gross negligence on our part.

9. Termination

9.1 Termination by You

You may terminate your use of the App and or Services at any time by deleting your account. If you use a third-party payment account such as Apple’s iTunes, as applicable ("App Store") or the Google Play Store’s Google Pay, you will need to manage in-app purchases through such an account to avoid additional billing.

9.2 Termination by us

Without limiting any other remedies, we may limit, suspend, discontinue or terminate these Terms, your account and/or your use of all or any part of the App and/or Services, with immediate effect, automatically, with or without notice, if we believe that you are or may be:

• In breach of the terms of these Terms.

• Causing, or threatening to cause us to incur any legal liabilities (actual or potential).

• Delinquent with respect to any charges due for a Premium Service and/or any paid Content and items.

• Infringing a third party’s intellectual property rights or personal rights or performing any forbidden activity listed under Article 4.

• Engaging in prohibited behaviours, including but not limited to child abuse, prostitution, pornography, discrimination based on age, sex, gender, ethnicity, nationality, profession, political stance, religion, scamming, consumption of illegal drugs or substances.

10. Intellectual property

Our Products are protected by copyright laws, international copyright treaties, and other intellectual property laws. They include trade secrets and confidential information that belongs to us. You agree to keep this information secret. We (or our licensors, if any) own all rights to the Products—including any updates, changes, or improvements, and all related documents. This includes all intellectual property rights.

The App is licensed to you, not sold. Unless these Terms say otherwise, you get no ownership rights to the Products. You can’t modify, copy, rent, sell, share, or make new works from them (in whole or part). No one gets implied rights to the App or Services—like copyrights, patents, or trademarks—unless clearly stated here. We keep all rights not expressly given to you.

11. Notification of changes

We reserve the right at our discretion to make changes to this Agreement from time to time. You may review updates to our Terms of Service at any time via links on our Site.

You agree to accept electronic communications and/or postings of a revised Terms of Service on the Site, and you agree that such electronic communications or postings constitute notice to you of the Terms of Service.
